No, this isn’t directly TMNT related. However, it is a subject near and dear to many of our hearts, and mine in particular; so there you go.

DISNEY TO ACQUIRE MARVEL ENTERTAINMENT

Worldwide leader in family entertainment agrees to acquire Marvel and its portfolio of over 5,000 characters

Acquisition highlights Disney’s strategic focus on quality branded content, technological innovation and international expansion to build long-term shareholder value

Burbank, CA and New York, NY, August 31, 2009 —Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company (NYSE:DIS) has agreed to acquire Marvel Entertainment, Inc. (NYSE:MVL) in a stock and cash transaction, the companies announced today.

Under the terms of the agreement and based on the closing price of Disney on August 28, 2009, Marvel shareholders would receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own. At closing, the amount of cash and stock will be adjusted if necessary so that the total value of the Disney stock issued as merger consideration based on its trading value at that time is not less than 40% of the total merger consideration.

Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.

“This transaction combines Marvel’s strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney’s creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories,” said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. “Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney.”

“We believe that adding Marvel to Disney’s unique portfolio of brands provides significant opportunities for long-term growth and value creation,” Iger said.

“Disney is the perfect home for Marvel’s fantastic library of characters given its proven ability to expand content creation and licensing businesses,” said Ike Perlmutter, Marvel’s Chief Executive Officer. “This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney’s tremendous global organization and infrastructure around the world.”

Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney’s global lines of business to build and further integrate Marvel’s properties.

The Boards of Directors of Disney and Marvel have each approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, effectiveness of a registration statement with respect to Disney shares issued in the transaction and other customary closing conditions. The agreement will require the approval of Marvel shareholders. Marvel was advised on the transaction by BofA Merrill Lynch.

“One of the coolest things about being a huge collector of anything is that you get to meet people you would never normally meet. At San Diego Comic Con, Steve Lavigne was given the card of a sculptor that used to work with Scott Hensey over at Anaglyph (one of the studios that sculpted the vintage TMNT toy line for Playmates). Steve gave me the card saying that he thought this was someone I should get in touch with. And this is how I met David Arshawsky.

David is one hell of a sculptor, and has sculpted a number of my favorite pieces including Pizzaface, Wingnut, and Ray Fillet!

I was very enthusiastic about getting to pick his brain, since I actually own a number of his prototypes, like this unreleased version of** Pizzaface!

Anyway, we got to chatting, and sometime in the near future I plan on taking a trip over to his studio to check out some of the pieces he has (which I will of course post about). But one of the cooler things he turned me on to is a little self published book he’s put out. “Turtle Soup – Designs From The Classic TMNT Years”.

This book is full of concept art of figures, vehicles, and roleplaying gear that was designed and sculpted by David. While there is a ton of stuff in there for toys that you have seen, there is also a ton of art in there for figures that you have NEVER seen, and I don’t believe you’ll ever see it anywhere else! In my humble opinion, this book is a MUST HAVE for any of the serious toy collectors out there. .. .. “

Teenage Mutant Ninja Bobbers
Our favorite heroes in a half shell are ready to knock some heads!

Among the many lines we showed off at this year’s San Diego Comic Con, our new Teenage Mutant Ninja Turtles Head Knockers were a huge hit with the fans who came by the booth. And not just the ones who came to pick up the exclusive April O’Neil either. It seems folks can’t get enough of Leonardo, Donatello, Michelangelo and Raphael, and with NECA around, there’s plenty for everyone.

Each of the four TMNT resin Head Knocker bobble heads features a brand new sculpt with the respective turtle’s signature weapons and a unique base. For you purists out there, these designs come right out of the original comics by Kevin Eastman and Peter Laird. The headbands are red and the turtles are ready for action. Statues stand 7″-8″ high.

The TMNT Head Knockers are available in stores early this fall, and of course, they’ll be at our ***Amazon storefront. Get ’em before they’re gone like pizza.
